The ideal candidate will have 4-6 years of prior law firm experience. Duties:Provide legal counsel and support on mergers and acquisitions transactions.Assist with the formation and governance of privately-held businesses.Review and analyze contracts related to corporate transactions.Advise clients on capital raising activities, including securities offerings.Review loan documents and provide legal guidance on financing transactions.Assist clients with corporate governance matters, including board meetings and compliance. Requirements:JD from an accredited law school.4-6 years of prior law firm experience in corporate law.Experience in mergers and acquisitions, privately-held businesses, contract review and analysis, capital raising, loan document review, and corporate governance.Strong understanding of corporate law principles and practices.Excellent drafting and negotiation skills.Ability to work independently and as part of a team. Education:JD from an accredited law school. Certifications:Admission to the State Bar. Skills:In-depth knowledge of corporate law.Strong analytical and problem-solving skills.Excellent communication and interpersonal skills.Attention to detail and ability to manage multiple tasks simultaneously.Ability to work efficiently under pressure and meet deadlines.
