Practice Area: Corporate - Private Equity, Job Type: Attorney, Firm Type: Law Firm, Experience: 3 Years, A law firm is seeking a Corporate Investment Funds Associate Attorney for their Houston, TX, location.Job Overview: The Corporate Investment Funds Associate Attorney will provide legal counsel and support in private equity fund formation and related fund operational matters. The ideal candidate will have at least 3 years of experience in this field.Duties:Assist in the formation and structuring of private equity funds.Review and draft fund documentation, including limited partnership agreements, subscription agreements, and offering memoranda.Conduct due diligence on fund investments and transactions.Advise clients on regulatory compliance matters related to fund formation and operation.Assist in negotiating and drafting investment agreements and other transactional documents.Provide legal support and advice on fund governance and operational issues.Requirements:Juris Doctor (J.D.) degree from an accredited law school.Admission to the State Bar of Texas or eligibility for admission via reciprocity.Minimum of 3 years of experience in private equity fund formation and related fund operational matters.Strong understanding of corporate and securities laws.Excellent analytical, communication, and negotiation skills.Ability to manage multiple tasks and work effectively under pressure.Education:Juris Doctor (J.D.) degree from an accredited law school.Certifications:Admission to the State Bar of Texas or eligibility for admission via reciprocity.Skills:Knowledge of private equity fund formation and structuring.Proficiency in drafting legal documents and agreements.Strong analytical and problem-solving skills.Excellent verbal and written communication skills.Ability to work collaboratively in a team environment.Attention to detail and strong organizational skills.
